Terms of Service

1. Acceptance of Terms

By accessing or using the SafeSpotz platform (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms. If you do not agree, you may not use the Service.

2. Description of Service

SafeSpotz is a cloud-based software platform designed to help organizations manage and verify safety equipment inspections. The Service provides tools for asset tagging, inspection tracking, data verification (NFC, GPS, photo), campus visualization, and audit reporting.

SafeSpotz is a tool to assist with compliance tracking. You are solely responsible for your organization's actual compliance with all applicable laws, regulations, and safety standards.

3. User Accounts

You are responsible for maintaining the security of your account and for all activities that occur under your account. You must provide accurate and complete information when creating your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Use the Service to violate any laws or regulations.
  • Upload false, misleading, or fraudulent inspection data.
  • Attempt to compromise the security or integrity of our systems or access data of other users.
  • Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.
  • Resell or sublicense the Service without our written permission.

We reserve the right to suspend or terminate accounts that violate this policy.

5. Billing and Payment

Our Service is billed on a subscription basis. Fees are based on the number of active assets in your account. You authorize us to charge your payment method on file for all applicable fees. All fees are non-refundable except as required by law. If payment fails, we reserve the right to suspend your account.

You can cancel your subscription at any time from your billing settings. Cancellation will take effect at the end of your current billing period.

6. Data Ownership and License

You own your data. All inspection data, photos, and content you upload to SafeSpotz remains your intellectual property. You can export your data at any time.

You grant SafeSpotz a limited license to use, store, and process your data solely for the purpose of providing the Service to you. This license ends when you delete your data or your account.

SafeSpotz and its logos are our exclusive intellectual property. These terms do not grant you any right to use our branding without our prior written permission.

7. Warranty and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

SAFE SPOTZ DOES NOT GUARANTEE THAT USE OF THE SERVICE WILL RESULT IN COMPLIANCE WITH ANY LAWS OR REGULATIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFE SPOTZ AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless SafeSpotz Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising from these Terms will be resolved through binding arbitration in Wilmington, Delaware, and you waive any right to a jury trial or to participate in a class-action lawsuit.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with at least 30 days' notice before the changes take effect. Your continued use of the Service after the changes become effective constitutes your agreement to the new Terms.
